Terms of Service

1. Acceptance of Terms

By accessing or using the Makerspace Magic platform (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

Makerspace Magic is a platform for managing makerspace operations, including member management, equipment scheduling, training tracking, billing, and related tools. The Service is provided on a subscription basis with multiple plan tiers.

3. Accounts

• You must provide accurate and complete information when creating an account.
• You are responsible for maintaining the security of your account credentials.
• You must notify us immediately of any unauthorized access to your account.
• You may not share your account credentials or allow others to access your account.

4. Free Trial

New accounts may include a free trial period. During the trial, you have access to all features of your selected plan. When the trial ends, you will be billed according to your selected plan unless you cancel or change plans before the trial expires. No credit card is required to start a trial.

5. Subscriptions and Billing

• Subscriptions are billed on a monthly or annual basis, depending on the billing interval you select.
• You may upgrade or downgrade your plan at any time. Plan changes take effect immediately.
• When you change plans mid-cycle, a prorated credit or charge will be applied based on the number of days remaining in the current billing period.
• Subscription fees are non-refundable except as required by law or as described in these Terms.
• We reserve the right to change pricing with 30 days' advance notice. Price changes will take effect at the start of your next billing cycle.

6. Cancellation

You may cancel your subscription at any time. Upon cancellation, you retain access to the Service through the end of your current billing period. After your billing period ends, your account will be downgraded and data will be retained for 90 days before permanent deletion.

7. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Upload or transmit malicious code, viruses, or harmful data
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service or its infrastructure
• Use the Service to store or transmit infringing, obscene, or objectionable content
• Resell, sublicense, or redistribute the Service without our written consent

8. Intellectual Property

The Service and its original content (excluding user-generated content) are and will remain the exclusive property of Makerspace Magic. You retain ownership of all content you create or upload to the Service. By using the Service, you grant us a limited license to host, display, and process your content solely as necessary to provide the Service.

9. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. You are responsible for ensuring that your use of the Service complies with applicable data protection laws, including obtaining necessary consents from your makerspace members.

10. Limitation of Liability

To the maximum extent permitted by law, Makerspace Magic shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Modifications to Terms

We may revise these Terms from time to time. Material changes will be communicated via email or a prominent notice on the Service at least 30 days before they take effect. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
